Please read these Terms and Conditions ("Terms") carefully before using the ThryvLink application, including its AI Co-Pilot, Desktop HUD, and real-time simulation features ("the Service") operated by Placeurtalent LLC ("we", "us", or "our").
1. Purpose of the Service (Assistive Technology)
ThryvLink provides Assistive Intelligence tools designed for professional development, accessibility, and productivity. Our real-time features (Meeting Co-Pilot, Speech Coach, Desktop HUD) are intended to act as:
- Accessibility Aids: To assist with note-taking, memory recall, and anxiety management during professional interactions.
- Training Simulations: To provide feedback on communication skills in a private setting.
- Productivity Tools: To provide contextual information and transcription during standard business meetings.
The Service is NOT designed, marketed, or intended for use as a tool for academic dishonesty, fraud, or to circumvent proctoring in regulated examinations.
2. Compliance with Recording Laws (Wiretapping)
⚠️ CRITICAL LEGAL NOTICE regarding Audio & Screen Capture:
Certain features of the Service capture, process, and transcribe live audio and visual data. Laws regarding the recording of conversations vary by jurisdiction (e.g., California Penal Code § 632 requires the consent of all parties to a confidential communication).
- User Responsibility: You acknowledge and agree that you are solely responsible for knowing and complying with all applicable federal, state, and local laws regarding audio recording and wiretapping in your jurisdiction and the jurisdiction of any other participants.
- Consent Requirement: You agree to obtain all necessary consents from other meeting participants before activating any feature that captures audio or screen data.
- Liability Release: Placeurtalent LLC disclaims all liability for your failure to obtain consent or your violation of recording laws.
3. Prohibited Use & Academic Integrity
You agree NOT to use the Service to:
- Cheat: Use the Service during proctored academic exams, government certifications, medical board exams, or any assessment where external assistance is explicitly prohibited by the administering body.
- Defraud: Misrepresent your identity, technical capabilities, or fluency during a hiring process in a manner that constitutes fraud.
- Steal IP: Record or transcribe confidential intellectual property, trade secrets, or classified information without authorization.
We reserve the right to immediately terminate the account of any user suspected of using the Service for academic dishonesty or fraud.
4. AI Accuracy & Disclaimer
The Service utilizes Artificial Intelligence. AI outputs may be inaccurate, incomplete, or hallucinated. You acknowledge that:
- ThryvLink does not guarantee the accuracy of real-time suggestions or resume analysis.
- You should not rely solely on the Service for critical decision-making (e.g., salary negotiation, legal advice).
- Placeurtalent LLC is not liable for any negative outcomes (e.g., job rejection, failed interviews) resulting from your reliance on the Service.
5. Indemnification
You agree to defend, indemnify, and hold harmless Placeurtalent LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:
- Your access to or use of the Service.
- Your violation of these Terms.
- Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right (specifically including recording laws).
6. Subscriptions & Refunds
Subscriptions renew automatically. You may cancel at any time. Refunds are provided at our sole discretion or as required by law. Unused credits for live sessions expire upon subscription cancellation unless otherwise stated.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
